Ola Electric Spent ₹111 Crore on Legal and Professional Fees in FY25 Amid Regulatory Scrutiny

BENGALURU (India CSR): Ola Electric Mobility Limited reported consolidated legal and professional fees of Rs. 111 crore in FY 2024-25, according to its annual report, compared with Rs. 137 crore in FY 2023-24—a decline of about 19 per cent.

The expenditure is disclosed as a combined “legal and professional fees” line item, and the annual report does not separately break out the amount spent exclusively on legal cases or litigation.

The company’s disclosures show that it faced regulatory correspondence during the year. The Central Consumer Protection Authority (CCPA) sought information related to consumer grievances registered on the National Consumer Helpline between September 1, 2023 and August 30, 2024. Ola Electric said it responded to the request and subsequently furnished additional information sought through a notice under Section 19(3) of the Consumer Protection Act, 2019. The company said management does not expect a material financial impact from the matter.

Ola Electric also received communications from the National Stock Exchange in March 2025 regarding a difference between vehicle numbers shown on the Vahan portal and figures cited in its February 2025 press announcement. The company clarified that the figure of 25,000 units referred to order bookings, while revenue is recognised after delivery and completion of vehicle registration. It said it does not expect a material financial impact from these communications.

The annual report further states that the company had no contingent liabilities as of March 31, 2025, and its standalone auditor reported that there were no pending litigations expected to affect the company’s financial position.

However, the group’s consolidated internal financial controls received a qualified opinion from B S R & Co. LLP. The auditor identified a material weakness at one wholly owned subsidiary concerning physical verification controls for raw materials and finished goods kept at stores and state distribution centres. The auditor said this could potentially lead to material misstatements in inventory, cost of materials consumed and changes in inventory.

Separately, a secretarial audit report included in Ola Electric’s annual report stated that statutory auditors had reported a suspected employee fraud exceeding Rs. 1 crore and filed Form ADT-4 with the Central Government on July 9, 2025. The report said the company had responded to notices, claims, penalties and demands from regulatory authorities and had initiated corrective measures wherever necessary.

The disclosures underline the legal, compliance and governance pressures facing the electric vehicle manufacturer as it scales operations and strengthens internal controls.
