LTIMindtree Transfers Rs 4.40 Cr to Unspent CSR Account for FY 2024-25

NEW DELHI (India CSR): LTIMindtree Limited, a major Indian technology services company, has reported an unspent Corporate Social Responsibility (CSR) amount of Rs 4.40 crore for the financial year 2024–25. While the company spent Rs 88.41 crore on CSR initiatives, it fell slightly short of the mandated 2% spending threshold, which stood at Rs 92.81 crore based on average net profits. The shortfall, however, was not due to negligence. Instead, the company clarified that the unspent funds are allocated toward ongoing projects and have been duly transferred to a dedicated unspent CSR account as per Section 135(6) of the Companies Act, 2013.

CSR Mandate and Utilisation

Two Percent Rule Compliance
As mandated under Section 135(5) of the Companies Act, LTIMindtree was required to spend Rs 92.81 crore in CSR during FY 2024–25. The company incurred actual CSR expenditure of Rs 88.41 crore. The difference—Rs 4.40 crore—has been set aside for ongoing projects and transferred on April 17, 2025, in compliance with statutory requirements.

No Excess or Shortfall
The company clarified that no excess spending occurred that could be set off in subsequent years. Similarly, there was no surplus from previous years, reinforcing that the unspent amount is exclusively for planned activities already underway.

Allocation and Thematic Focus

Priority Areas of CSR Investment
LTIMindtree continues to focus on core social development areas. The Rs 88.41 crore spent was directed towards:

  • Education
  • Health and Wellness
  • Livelihood Enhancement
  • Environmental Sustainability
  • Women Empowerment
  • Upliftment of Persons with Disabilities (PwDs)

Out of the total amount, Rs 87.80 crore was routed through the LTIMindtree Foundation—the company’s CSR arm—indicating a consistent partnership model for delivering impact on the ground.

Account Transfers and Transparency

Previous Unspent Funds and Compliance
In line with evolving CSR guidelines, LTIMindtree has also addressed prior unspent amounts:

  • FY 2021–22: Rs 7.71 crore was transferred; Rs 0.27 crore remained at the start of FY 2024–25 and was completely spent.
  • FY 2022–23: No unspent amount.
  • FY 2023–24: Rs 0.62 crore transferred and fully utilised during FY 2024–25.

As of March 31, 2025, the company’s financials reflected a provision of Rs 4.40 crore towards unspent CSR obligations, compared to Rs 0.90 crore the previous year.

Capital Assets and CSR Spend

Importantly, the company confirmed that no capital assets were created using CSR funds, aligning with the broader focus on community-based interventions rather than infrastructure acquisition.

Leadership Statement and Assurance

In a joint statement dated April 23, 2025, from Debashis Chatterjee, CEO & Managing Director, and Apurva Purohit, Chairperson of the CSR Committee, the company assured that the Rs 4.40 crore unspent CSR amount will be utilised in the upcoming year for its intended purpose. The statement also reaffirmed LTIMindtree’s ongoing commitment to regulatory compliance and community development.

Foundation-Driven Implementation

LTIMindtree Foundation’s Role: The CSR activities were largely driven through the LTIMindtree Foundation, indicating a preference for strategic implementation via a dedicated entity. This structure ensures monitoring, continuity, and deeper engagement with beneficiaries.
