CSR Visionary Rajashree Birla: UltraTech Cement Proposes Reappointment as Non-Executive Director

MUMBAI (India CSR): UltraTech Cement Limited has proposed the reappointment and continuation of Mrs. Rajashree Birla as a Non-Executive Director, recognising her extensive experience in corporate governance, Corporate Social Responsibility, community development and rural transformation. Mrs. Birla will retire by rotation at the company’s forthcoming Annual General Meeting and, being eligible, has offered herself for reappointment. The Board has recommended the resolution for shareholders’ approval.

As Mrs. Birla is above 75 years of age, the company is also seeking approval for her continuation under Regulation 17(1A) of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015.

More Than Two Decades on UltraTech Board

Mrs. Birla, born on September 15, 1945, was first appointed to the UltraTech Cement Board on May 14, 2004. She has consequently completed more than 22 years as a director. The shareholders had earlier approved her reappointment and continuation at the Annual General Meetings held in August 2020 and August 2023.

According to the company, her deep understanding of its business, operations and industry landscape enables her to provide valuable guidance and balanced judgement on important matters. During FY 2025-26, Mrs. Birla attended five of the seven Board meetings conducted by UltraTech Cement. She holds 41,793 equity shares in the company.

Leadership of CSR Committee

Mrs. Birla is Chairperson of UltraTech Cement’s Corporate Social Responsibility Committee. She also chairs the Aditya Birla Centre for Community Initiatives and Rural Development, the Group’s apex institution for social-development programmes. The Centre’s community initiatives cover more than 9,000 villages and reportedly reach approximately 11 million people.

The Aditya Birla Group operates 24 not-for-profit hospitals. It also reaches more than 100,000 students through 54 formal schools and non-formal educational institutions. Girls constitute 50% of the students covered by this educational network. Mrs. Birla additionally chairs the CSR committees of Grasim Industries, Hindalco Industries, Aditya Birla Real Estate and Pilani Investment and Industries Corporation.

National and Global Recognition

The Government of India conferred the Padma Bhushan on Mrs. Birla in 2011 for her contribution to social work. She was also named the recipient of the Lal Bahadur Shastri Award for Excellence 2024. Her other recognitions include the G20 EMPOWER Lifetime Achievement Award, BRICS Living Legend and Icon Award, Polio Eradication Champion Award and Global Golden Peacock Award for CSR. She is associated with FICCI, Habitat for Humanity, BAIF Development Research Foundation, Columbia Global Center Mumbai, Gujarat Vidyapith and the Mahatma Gandhi Sabarmati Ashram Memorial Trust.

Remuneration Disclosed

UltraTech Cement disclosed that Mrs. Birla received Rs. 6.92 crore as commission and Rs. 2.70 lakh as sitting fees during FY 2025-26. Following the recommendation of its Nomination, Remuneration and Compensation Committee, the Board concluded that her expertise, institutional knowledge and social-development experience continued to benefit the company. Her reappointment and continuation remain subject to shareholder approval at the forthcoming AGM.
