Exceeding the Mandate: FY25 Spending Details

As per Section 135 of the Companies Act, 2013, companies meeting certain thresholds are required to spend at least 2% of their average net profit from the preceding three financial years on CSR activities. For the financial year ended 31 March 2025, Himadri Speciality Chemical Ltd’s gross amount required to be spent on CSR was calculated to be Rs 6.49 Crore.

Himadri, however, demonstrated a commitment beyond this minimum requirement. The company had an excess amount of Rs 2.46 Crore from FY 2023-24 that was eligible for set-off against the current year’s obligation. After setting off this excess amount, the net CSR obligation for FY 2024-25 was Rs 4.03 Crore.

The actual amount spent by Himadri during the financial year 2024-25 was Rs 4.86 Crore. This spending included amounts spent from the company’s bank account and activities other than construction or acquisition of assets. Notably, this figure exceeds the net CSR obligation of Rs 4.03 Crore for the year.

This resulted in an excess amount spent of Rs 83.00 Lakhs in FY 2024-25. This excess amount is eligible for set-off in the three succeeding financial years. The sources confirm that there was no amount unspent for the year ended 31 March 2025. The total amount spent on CSR Projects (both Ongoing Project and other than Ongoing Project) was Rs 4.86 Crore. The expenditure on corporate social responsibility as listed in the standalone financial statements also shows Rs 6.49 Crore for FY 2025, reflecting the gross amount required to be spent before accounting for the set-off from the previous year. The net cash spent during the year was Rs 4.86 Crore (excluding construction/acquisition of assets), aligning closely with the reported spending figure of Rs 4.86 Crore.

Key Areas of Impact and Project Details

Himadri’s CSR efforts are structured around a policy that identifies critical societal needs, particularly focusing on underprivileged communities. The major areas of CSR activities undertaken during FY 2025 included:

  • Promoting Education: Initiatives such as offering scholarships, distributing books and educational materials, and developing school and library infrastructure to ensure underprivileged youth have access to quality education without facing financial or infrastructural barriers. These upgrades are designed to promote inclusivity and create environments conducive to learning.
  • Eradicating Hunger, Poverty, and Malnutrition: This involves direct support through the distribution of food, drinking water, and clothing.
  • Health Care: Projects aimed at improving health infrastructure and access, including activities related to setting up nursing homes.
  • Rural Development: Comprehensive projects targeting economically weaker sections in villages, which encompass the construction of Pucca houses, provision of Drinking Water Facilities/Electrification, setting up playgrounds, training for Rural Sports, establishing Centres for Handicapped Children, and building schools.

These initiatives fall under eight identified areas of CSR activities for the company.

The impact of these diverse projects is reflected in the number of beneficiaries. During the year, Himadri’s CSR activities directly benefitted over 14,300 individuals. Health Care projects alone reached approximately 11,600 persons, while education support initiatives benefitted over 450 persons. The company’s employees also actively participated, with 112 employees volunteering in CSR activities. The company’s manufacturing location in Korba, Chattisgarh, received specific CSR investment totaling ₹1,05,705.66 during the year.

Impact and Philosophy: Beyond Numbers

Himadri’s commitment to CSR is deeply rooted and extends beyond regulatory compliance. It is guided by a dedicated Board-level CSR Committee, currently chaired by Mr. Gopal Ajay Malpani. This committee ensures projects align with the company’s core values, sustainability objectives, and long-term community development goals. The CSR policy is available on the company’s website, outlining its scope which includes addressing challenging issues related to education, health, equality, and the development of weaker sections.

The company’s CSR efforts aim to be a catalyst for transformation, particularly in rural and underserved regions. They prioritize high-impact initiatives and actively contribute to the United Nations Sustainable Development Goals (UNSDGs). In FY 2025, Himadri’s CSR activities benefited more than 14,300 people in total, with 93.6% of beneficiaries identified as belonging to vulnerable groups.

Himadri follows a structured approach to CSR, ensuring meticulous planning, implementation, and monitoring. While formal impact assessment studies have not yet been conducted, projects are designed to maximize positive outcomes and minimize risks. The company intends to conduct rigorous assessments, including internal evaluations and third-party verifications, to measure the tangible impact of its programs and enhance credibility.

This dedication to social responsibility has earned Himadri recognition, including a Global CSR excellence award for best Corporate Social Responsibility practices. Furthermore, the company’s approach to sustainability and social well-being is reflected in its EcoVadis Platinum Medal, positioning it among the top 1% globally assessed companies.

Himadri’s CSR philosophy is further integrated into its broader operations, for instance, through a sustainable procurement policy that embraces inclusivity and prioritizes suppliers from recognized marginalized and vulnerable groups where feasible, although sourcing raw materials directly from these groups presents challenges due to the specialized nature of requirements.

The management and dedicated workforce support the continuous innovation and enhancement of ESG and CSR initiatives. The CSR Committee reviews the progress of initiatives, recommends the amount of expenditure, and monitors the CSR Policy and projects. The Chief Financial Officer also submits a certificate regarding CSR activities. Related party transactions in relation to corporate social responsibility were noted, amounting to Rs 6.07 Crore in FY 2025.
