Registrar of Companies in Kerala and Lakshadweep Issues Adjudication Order for Failure to File Annual Return

NEW DELHI (India CSR): In a noteworthy enforcement action by the Ministry of Corporate Affairs, the Registrar of Companies in Kerala and Lakshadweep has issued a substantial penalty to Emtex International Limited and its Managing Director, Dr. Varghese Mundackal. This move comes after the company’s failure to adhere to statutory filing requirements under the Companies Act 2013, specifically concerning the annual return for the financial year 2020.

EMTEX International Limited, registered in accordance with the Companies Act, 1956, has its location in Ernakulam, Kerala.

Detailed Account of Non-Compliance

The adjudication order, dated November 24, 2023, explicitly states that Emtex International Limited neglected its legal obligation to file the annual return for the financial year ending on March 31, 2020. This failure contravenes Section 92 of the Companies Act 2013, which mandates all registered companies to file their annual returns within a stipulated timeframe.

Company’s Lack of Response to Legal Notices

Remarkably, both Emtex International Limited and Dr. Varghese Mundackal chose not to respond to the show-cause notice served by the Registrar. This non-response was highlighted in the order, underscoring the seriousness of the company’s inaction and the potential disregard for corporate governance norms.

Detailed Financial Penalties Imposed

The Registrar has imposed stringent financial penalties on both the company and its Managing Director. The order outlines these penalties, which have been calculated based on the period of non-compliance. The fines are significant and are intended to act as a deterrent against future violations of the Companies Act by Emtex International Limited or other companies.

Legal Recourse and Appeal Process

The document meticulously explains the legal recourse available to the penalized parties. It specifies the process for appealing against this order, directing that any appeal should be filed with the Regional Director of the Ministry of Corporate Affairs. This section of the order provides a vital avenue for the company and its Managing Director to contest the decision.

Implications for Corporate Compliance

This adjudication serves as a critical warning to other companies about the importance of adhering to statutory requirements. The Ministry of Corporate Affairs, through actions like these, emphasizes the need for strict compliance with corporate laws to maintain transparency and accountability in the corporate sector. This order is a clear indication that non-compliance with the Companies Act 2013, particularly regarding filing of annual returns, will not be taken lightly and will be met with significant penalties.
