NEW DELHI (India CSR): Jindal Saw Limited (JSAW), recognizing the wide impact of its business activities on society, views Corporate Social Responsibility (CSR) as a key process for sustainable development, aiming for long-term value creation for all stakeholders, including local communities. The company has demonstrated this commitment by not only meeting but exceeding its statutory CSR obligations for the financial year ended March 31, 2025.

For FY 2025, Jindal Saw Ltd.’s actual CSR obligation, after accounting for excess expenditure from the previous financial year (FY 2023-24), was calculated at Rs 17.13 Crore. However, the company went further, spending a total of Rs 18.31 Crore on its various CSR activities during the year. This resulted in an overspend of Rs 1.18 Crore compared to the current year’s adjusted obligation.

Understanding Jindal Saw’s CSR Approach and Governance

Jindal Saw Ltd.’s CSR initiatives are guided by a core value of inclusion and are driven by its CSR Policy. This policy provides guidelines for the company’s CSR activities and is available on its website. The key philosophy behind all CSR initiatives is inclusion.

The company has a dedicated CSR Committee responsible for recommending various activities to the Board. For the financial year 2025, the CSR Committee held one meeting, which was attended by all its members. The committee comprises five directors: Shri Satyakam Mishra (Chairperson, Independent Director), Ms. Sminu Jindal (Managing Director), Shri Neeraj Kumar (Group CEO and Whole-time Director), Shri Sanjeev Shankar (Independent Director), and Shri Girish Sharma (Independent Director).

The statutory amount required to be spent for the year, based on 2% of the average net profit as per Section 135(5) of the Companies Act, 2013, was Rs 23.42 Crore. The obligation for the year was reduced to Rs 17.13 Crore after considering an amount of Rs 6.29 Crore required to be set off from excess expenditure in FY 2023-24.

The actual spending of Rs 18.31 Crore exceeded the adjusted obligation of Rs 17.13 Crore. This resulted in an excess amount spent for the financial year of Rs 1.18 Crore. According to the provisions of Section 135 of the Companies Act, 2013 and relevant rules, this excess amount of Rs 1.18 Crore spent during FY 2025 is approved to be set off against the spending requirement for the immediately three succeeding financial years. Jindal Saw Ltd. did not transfer any amount to any reserve during the financial year.

Breakdown of Spending on CSR Projects

The total CSR spending of Rs 18.31 Crore Lakh includes expenditure on both ongoing projects and other projects.

For ongoing projects, the company allocated Rs 7.03 Crore for a project focused on “Accessibility for people with reduced mobility”. This project is listed under item (ii) from the list of activities in Schedule VII to the Act, indicating promotion of education or enhancing vocational skills, and supporting livelihoods. The project is located across India with a duration of 3 years. In the current financial year (FY 2025), Rs 1.05 Crore was spent on this ongoing project in cash. The remaining allocated amount for this ongoing project, Rs 5.98 Crore, was transferred to an Unspent CSR Account as per Section 135(6) of the Act. This ongoing project is implemented through Sminu Jindal Charitable Trust, which has CSR Registration number CSR00003128. Notably, Sminu Jindal Charitable Trust also received a donation of Rs 1.98 Crore from the Group and Rs 1.48 Crore from the Parent Company during FY 2025.

Spending on projects other than ongoing projects accounted for the remaining portion of the total expenditure. Specific examples of these projects, primarily located in Gujarat (Paragpar and Samaghogha), include:

  • Grass Distribution, costing Rs 22.08 Lakh.
  • Tree Plantation, costing Rs 12.69 Lakh.
  • Culvert Preparation/Repairing On Nagmati River, costing Rs 10.00 Lakh.
  • Education Activity at SMG Village and Furniture for Village Library, costing Rs 6.64 Lakh.
  • Community Hall Construction in a nearby village.

These activities fall under various items listed in Schedule VII, such as promoting education (ii), ensuring environmental sustainability (iv), and rural development (x).

No amount was spent on Administrative Overheads or Impact Assessment during the financial year 2025 from the CSR budget.

Compliance and Reporting

Jindal Saw Ltd. states that its related party transactions, including material ones with JSW Steel Limited and Jindal Steel and Power Limited, are in compliance with the SEBI Listing Regulations as applicable during FY 2025. The policy on related party transactions is available on the company’s website. The company also has a Dividend Distribution Policy in compliance with SEBI Listing Regulations, available on its website. Equity shareholders can expect dividends if the company has surplus funds after considering relevant factors. The Board recommended a dividend of Rs 2/- per equity share (200%) for the year ended March 31, 2025, subject to shareholder approval.

The Annual Report on CSR activities is annexed to the Board’s Report. The company plans to initiate steps to conduct impact assessment of CSR projects through an independent agency in pursuance of CSR Policy Rules. The total amount spent on CSR activities in cash during FY 2025 was Rs 12.08 Crore, while Rs 6.24 Crore is yet to be paid.
